Terms of service

1. Who these terms are with

Vertyk is the trading/service name of Vertyk Ltd (“Vertyk”, “we”, “us”). You can contact us at hello@vertyk.com.

These terms apply when you create or use a Vertyk account, join a workspace, use a public profile or media kit, submit or receive collaboration information, or purchase a Vertyk subscription.

2. The service

Vertyk provides software for creators, brands and agencies to manage creator-business and collaboration workflows, including campaigns, offers, deliverables, products, approvals, files, finance records, public profiles, media kits, enquiries, notifications and AI-assisted tools. Features, limits and integrations may evolve over time.

3. Accounts and eligibility

You must provide accurate information, keep your login credentials secure and tell us promptly if you believe your account has been compromised. Vertyk is intended for users aged 18 or over. You are responsible for activity carried out through your account unless caused by our failure to protect the service.

4. Workspaces, brands and agencies

If you create or administer an organisation workspace, you confirm you are authorised to act for that organisation and to invite or manage its users. Workspace owners and administrators are responsible for team access, permissions and the information they enter about creators, campaigns and contacts.

Creators retain their own Vertyk workspace and data. Joining a brand or agency workspace does not transfer ownership of the creator’s independent account or content to that organisation.

5. Plans, prices and recurring subscriptions

Paid plans are normally billed monthly in advance at the price shown at checkout, plus any applicable taxes shown before payment. Paid subscriptions automatically renew for successive monthly billing periods unless cancelled before the next renewal date.

By starting a paid subscription, you authorise our payment provider to charge the payment method on file for each recurring renewal until the subscription is cancelled. The checkout page will show the plan, price, billing frequency and recurring nature of the subscription before you confirm payment.

Plan allowances, including AI credits, storage, active creators and team limits, are described on the pricing or billing pages. Unless stated otherwise, monthly AI allowances reset for each new paid billing period and unused monthly allowances do not create a cash balance.

6. Cancellation and automatic renewal

You can cancel automatic renewal from the Vertyk billing area. Unless applicable law requires otherwise, cancellation is scheduled for the end of the current paid billing period rather than taking effect immediately. You keep the paid plan until that period ends and no further monthly renewal is taken.

If the cancellation has not yet taken effect, Vertyk may allow you to reverse it and continue automatic renewal. Cancelling a subscription does not automatically delete your account or workspace.

7. Refunds and statutory rights

We do not normally provide a partial or pro-rata refund solely because you choose to cancel part-way through a billing period. This does not affect any cooling-off, cancellation, refund or other rights that cannot lawfully be excluded or limited. Where you are legally treated as a consumer, your mandatory statutory rights remain unaffected.

If we issue a refund outside a statutory entitlement, it is discretionary and does not create an ongoing obligation to provide refunds in similar circumstances.

8. Failed payments, expiry and access

If a renewal payment fails, we or our payment provider may retry the payment and ask you to update your payment method. Access to paid features may be restricted if payment is not successfully completed.

When a creator paid subscription ends, the creator workspace may move to the available free creator tier. Existing data is not automatically deleted, but features, AI usage, uploads or other activity may be limited by the free plan.

When a brand or agency subscription ends, the organisation may move to an internal unlicensed state. The workspace data is preserved, but operational features can be locked until an active paid organisation plan is in place.

9. Upgrades and downgrades

Plan changes are subject to the limits shown for the selected plan. If an organisation already uses more creators, team seats, storage or another resource than a lower plan allows, the lower plan may remain unavailable or pending until the organisation reduces its usage. Vertyk does not automatically delete creators, files or other customer data merely to make a downgrade fit.

Any live billing treatment for plan changes, including whether a price change takes effect immediately or at the next renewal, will be shown before you confirm that change.

10. User content, uploads and public profiles

You retain ownership of content you upload. You grant Vertyk a limited licence to host, process, copy, display and transmit that content only as needed to operate, secure and improve the service and provide features you request. You must have the rights and lawful basis required to upload, publish and share the information you provide.

If you publish a public profile, media kit, custom domain or collaboration enquiry form, you understand that information you choose to make public can be viewed by visitors outside your workspace.

10. Creator campaigns and commercial relationships

Vertyk provides workflow tools and does not become a party to the underlying commercial relationship between a creator and a brand or agency unless we expressly agree otherwise in writing. Users remain responsible for campaign terms, deliverables, usage rights, disclosures, taxes, payment obligations and compliance with applicable advertising/platform rules.

10. AI-assisted features

AI-generated material may be incomplete, inaccurate or unsuitable. It is provided as an assistance tool, not legal, financial, medical or regulatory advice. You are responsible for reviewing claims, scripts, captions, disclosures and other outputs before use or publication.

10. Acceptable use

You must not use Vertyk unlawfully; infringe intellectual property, privacy or other rights; upload malicious code; attempt to bypass security or workspace isolation; access another person’s account without permission; scrape restricted content; interfere with the service; or use Vertyk to distribute fraudulent, harmful or deceptive material.

10. Third-party services

Vertyk may rely on third-party services such as hosting, object storage, email, AI providers, social sign-in providers and payment processors. Third-party services may have their own terms and privacy notices. We are not responsible for changes or outages in third-party platforms that are outside our reasonable control, although we remain responsible for our own obligations when selecting and using service providers.

10. Suspension, account closure and data

We may suspend or restrict access where reasonably necessary to protect security, investigate misuse, enforce these terms, comply with law or protect users. Where practical, we will give notice and an opportunity to remedy an issue before a non-urgent suspension.

You may request account closure and deletion through the service where available or by contacting us. Some information may need to be retained for legal, accounting, fraud-prevention, security, backup or dispute-resolution purposes, and shared-workspace records may need to remain available to other authorised participants.

10. Service changes and availability

We may improve, replace or discontinue features. We aim to provide a reliable service but do not guarantee uninterrupted or error-free availability. If a material paid feature is withdrawn, we will take reasonable steps to communicate the change.

10. Price changes

We may change plan prices in the future. A price change will not be applied retrospectively to a completed billing period. Where required, we will give advance notice before a new recurring price takes effect and explain the options available to you.

10. Liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation and any rights or remedies that cannot be excluded by law.

Subject to those rights, Vertyk is not responsible for losses caused by creator/brand disputes, inaccurate information supplied by users, third-party platform changes, decisions made solely from AI suggestions, or indirect losses that were not reasonably foreseeable when the contract was formed. Any final business-to-business liability cap should be reviewed alongside the legal operator details before paid launch.

10. Changes to these terms

We may update these terms to reflect legal, security, payment or product changes. If a change materially affects an active paid subscription, we will provide reasonable notice where required and will not remove mandatory rights.

10. Governing law and complaints

These terms are intended to be governed by the laws of England and Wales, subject to any mandatory rights you may have under the law that applies to you. Before paid launch, the governing-law and jurisdiction wording should be confirmed alongside the legal operator details.
